1. Purpose
1.1 These Terms and Conditions contract intended to establish the terms and conditions that govern Agenda Directa, Inc., a company headquartered at Rua Professor Lima Basto, 103-A, Lisbon, registered at the Commercial Registry of Lisbon, with the legal number 507815969, by selling their services in  www.agendadirectaonline.com .
1.2. The terms in the Special Conditions, if any, shall prevail over the provisions of these Terms, and prevail over both any additional provisions written, specifically agreed between the Customer and Book Direct, Inc.
1.3. The products and services are offered to the Customer under the terms and conditions set forth herein.
1.4. When contracting with Agenda Directa, Inc., Customer acknowledges and accepts all terms and conditions set forth herein.

2. Sale and Payment
2.1. The conditions of sale and payment may vary depending on the type of product, consisting of the same special conditions of the contracted service. In the absence of special conditions will apply these general conditions under which, at the time of contracting the service, the customer must pay the full price of the service, to 4 (four) days before the service or in when authorized by Agenda Direct Ltd., 24 hours before the service bought in the pages of the website www.agendadirectaonline.com .
2.2. For any change to the service purchased you requeste Agenda Directa, Inc. reserves the right to charge a change fee.
2 3.The customer is still required to pay all cancellation charges in accordance with paragraph 8 of these General Conditions, should it withdraw from the service.
2.4. Agenda Directa, Inc. reserves the right to cancel any reservation for which payment has not been confirmed 24 hours prior to the date of service.

3. Purchases and Reservations
3.1. Purchased services, reservations and other services will be applied constant value of the tables that they are in force at all times, available for viewing on this page, plus the amounts charged in the case of changes or cancellation.
3.2. The form for the purchase and reserve service shall contain all information necessary to process the same and neither the Agenda Directa, Inc. be held responsible for incorrect data entry or failure by the Customer, at the time of purchase.
3.3 The price referred to in 3.1. Customer will not be refunded in case of no use or enjoyment of the service in the reserved date without informing Agenda Direct, Inc. in writing (mail or e-mail) until 24 hours before the date of the contracted service, as well as any other reasons not attributable to AgendaDirectaOnline.

4. Changes in prices of services
4.1. Agenda Direct, Inc. reserves the right at any time to change the price of services, ensuring the price shown at time of payment, except as provided in paragraph 4.2.

4.2. Agenda Direct, Inc. reserves the right, until the date of service, change the price of the service if this increase is due to significant variations in fuel costs, dues, taxes or fees chargeable, shall report such fact to client.
4.3. The change will be calculated on pro rata basis to changes in prices of the same factors that influence change.
4.4. The non-acceptance of the rising price of service, gives you the right to cancel your reservation date.

5. Refunds
After starting the service is not due any refund for services not used by the Customer. Failure to provide services provided for in the reserve for reasons not attributable to Agenda Directa, Inc., if can not be replaced by other equivalent services, gives you the right to be reimbursed the difference between the price of services provided and actually provided, without prejudice to paragraph 11.3 of these General Conditions.

6. Assignment of Reserve / Service Purchased
You may transfer your booking or service purchased, making substitute another person who meets all the requirements, provided if notified to Agenda Directa, Inc. at least 24 hours in advance.
The assignment of booking severally liable for the transferor and the transferee to pay the price and additional charges arising from the transfer.

7. Discontinuance of Service
7.1. If the client give the service previously confirmed with an advance of less than 48 hours, the Customer must pay all charges to the waiver and still give rise, in legal terms, a value that can go up to fifteen percent of the price of the service concerned.

7.3. Where applicable, the Customer will be refunded the difference between the amount already paid and the amounts referred to in 8.1. or 8.3.

8. Deficiencies in the performance of services
Any claim by the Customer must be submitted to Agenda Directa, Inc., as soon as possible and in any case within a maximum of 14 (forteen) days from the last day of service, written and well detailed, along with the supporting documents related to the occurrence  and a copy of participation to the service provider that has been subject of a complaint, if applicable. The non-participation and timely delivery of the documents referred to is a cause for exemption upon Agenda Directa, Inc.

9. Changes in itinerary
9.1. Where there are reasons beyond the warrant, Agenda Direct, Inc. may change the conditions contained in the Service Program, including the order of the routes, times of departure or replace any of the additional services provided by others of similar category and location if Customer consents.
9.2. If unforeseen circumstances attributable to Agenda Direct Ltd., force them to suspend any services, the Customer shall always be entitled to reimbursement of amounts paid.

10. Inability to comply with the Agenda Directa, Inc.
10.1. If not for acts attributable to Agenda Directa, Inc., is unable to comply with any essential service, the Customer is entitled to withdraw from the service, immediately reimbursed the difference between amounts paid and expenses already incurred by Agenda Directa, Inc. or, alternatively, to accept an amendment to the services and any change in price, and notify Agenda Direct, Inc. Your decision within 4 (four) working days after receipt of notification of impossibility of compliance by the Agenda Directa, Inc., or if the change is proposed in four days prior to the service, 24 hours before the service.
10.2. If such facts are not attributable to Agenda Directa, Inc. were to determine the cancellation, the Customer may choose to accept another service, accepting an amendment to the contract and any change in price.
10.3. It is not due any reimbursement for services, although available to the client, it chose not to use.

11. Minimum Participants
The Tours Program or other activities that include complementary provided by third parties, may impose a minimum number of participants. If not reached the minimum number of participants set Agenda Directa, Inc. may cancel the additional service and will notify you at least 24 hours in advance, Agenda Directa, Inc. disclaims any responsibility for cancellation.

12. Children
12.1 Children are welcome in Agenda Directa, Inc. However, the reservation and purchase of services used by children should be informed Agenda Directa, Inc., no later than 24 hours before service, to proceed to the placement of accessory transport of children required by law.
12.2 Foregoing shall not affect any features of certain additional services which may have age restrictions, so the customer should always ask for information on conditions for children.

13. Documentation
13.1 The Customer shall have in good order all your personal and family documents, including identity, authorization for minors, passports, visas, vaccination certificate and other documents that may be required by the authorities during the service chosen and the other containing service program and is responsible for timely obtaining them.
13.2. In no case Agenda Directa, Inc. may be responsible, directly or indirectly, for lack of personal documents of the Customer, refusal of visa or entry permit is not the client in any country, business or public.

14. Limitation of Liability

14.1. The Customer is responsible for the costs of tolls and parking.
14.2. Responsibility Agenda Directa, Inc. will limit the maximum amount payable to providers of transport services with driver, according to law, including limitations on damages not bodily.
14.3. Agenda Directa, Inc. is not responsible in any circumstances, for luggage and other assets that customers can carry, whatever the location or means of transport in which they placed, except when deposited in the trunk of the vehicle Agenda Directa, Inc. by an employee of Agenda Directa, Inc. It is recommended to Clients hiring luggage insurance, and their presence in loading and unloading the same.
14.4. In case of theft, damage or destruction of luggage, customers should immediately complain in writing with Agenda Directa, Inc., where the goods have been delivered under the conditions described in paragraph 14.2., Saving a copy of the complaint.
14.5. Responsibility Agenda Direct, Inc. can only be activated upon presentation of proof of claim provided for in the preceding paragraph.

14.6. If the assets are in the custody of another entity, customers should immediately complain in writing to the entity providing the services and / or entity to whom custody of the same were deposited, saving a copy of the complaint, not being Agenda Directa, Inc. liable, directly or indirectly, through the course and conclusions of your complaint.

15. Meals
15.1. Unless otherwise stated, are not included lunches, dinners or other meals, unless provided for in their service programs.
16.2. Any specific request of the Customer relating to meals is always subject to confirmation from the supplier and involves the payment of the supplement relating to meals requested.

16. Hours of Arrival and Departure
16.1. The arrival and departure in each city are in the time of his country and in accordance with the schedules of the carriers, so they are subject to change.
16.2. On trips that include bus transportation the hours listed are approximate.
16.3. Except for the delays due to technical or other reasons related to the transportation companies or carriers.

17. Accommodation
17.1 The group, classification and description of housing are determined by the host State. The list of accommodations in the program is indicative of the service, as well as its category. As regards housing, apply the following special rules:
17.2. Apartments: It is the sole and entire responsibility of the client information on the number of people (adults and children) who will occupy the apartment. In case you submit more people than the reserved accommodation by those responsible may refuse entry.
17.2. Hotels: Prices shown are per person and are based on double occupancy. Not all hotels have triple room, so it is placed in a double room an extra bed, which may not be of similar quality and comfort. In the case of rooms treated with wide or two double beds, it is considered that, in most cases, the triple consists only of these two beds.
17.3. Time: As a rule usually indicates the rooms can be used from 14h, the day of arrival and should be left free before 12pm on the day of departure. 18. Liability guarantee
18.1. The liability of Agenda Directa, Inc. is guaranteed by the policy required by law.

19. Changes to the General Conditions
Agenda Directa, Inc. reserves the right to change these Terms at any time and as often as necessary.

20. Use of Customer Information
20.1. Agenda Directa, Inc. will process the data relating to the name, address and other information relating to the Customer for its management and promotion of their services, not providing any way to third parties.
20.2. You agree that Agenda Directa, Inc. may provide to third parties information relating to habits and customs as a group and not including the identity or characteristics of any particular client.
20.3. Agenda Directa, Inc. will automatically process the data designed to send the corresponding request, its statistical and administrative support and future presentation of new proposals unless the Customer does not consent to its processing, you can do by any means when of contracting the service. The Customer shall, in accordance with applicable law, right of access to his data and rectify it.

21. Compensation
The Customer is obliged to compensate Agenda Directa, Inc. or its suppliers for all damages resulting from the breach of the duties provided in these general conditions, including without limitation attorneys’ fees and court costs.

22. Means of Payment
You may pay for services purchased online with PayPal or when duly authorized and requested to Agenda Directa, Inc., by bank transfer. Additional services such as extra hours and miles, may be paid with Visa, MasterCard throught ATM, cash or certified check in Agenda Direct, Inc facilities and vehicles .

23. Provisions loose
23.1. If any part or provision of these Terms come to be considered void and of no effect, shall remain in force the remaining provisions not affected its overall validity unless it is possible to conclude that the parties have not agreed on the provision service or supply the product if they had foreseen the invalidity or unenforceability of the provision.
23.2. All disputes arising from the interpretation or execution of this Agreement shall be settled by the District Court of Lisbon, with express waiver of any other.
